Market Basket CEO Arthur T. Demoulas filed a lawsuit against family rival Arthur S. Demoulas and the grocery chain on Thursday, claiming that Keith Cowan, an independent member of the board of directors, is not truly independent because he once served as a member appointed by Arthur S.’s side of the family.

This latest lawsuit in the continuing rivalry between factions of the Demoulas family requests that a judge declare company director Keith Cowan “not disinterested or independent” as required by a previous court order. It also asks that Cowan be removed from the board and a new member appointed in his place, according to a news release by Lowell Sun.

In addition, Arthur T. demanded that any vote taken since July 18 – Cowan’s first meeting as one of the three independent directors – be declared void. Nevertheless, in that time, the board has voted to approve a one-time dividend payment to family shareholders totaling at least $250 million, has moved toward removal of the CEO by hiring an executive search firm, and has removed two of three trustees of the company’s popular employee profit-sharing program.

Lowell Sun
